By purchasing a Training Tools product, you agree to the conditions within the Licence Agreement. 

 

This extends to other commercial developers who buy our compliance templates to use as part of their own offerings. This applies irrespective of whether you purchase directly from us or from an agent.

Purchase/download of our products signals agreement with the following:

 

Complimentary products are supplied on the same conditions as fee-for-supply items.

In consideration for payment of the Licence Fee, the owner of the materials, MAE Projects Pty Ltd trading as Training Tools (“the Licensor”) grants a non-exclusive licence to the Purchaser (“the Licensee”) upon following terms and conditions:

Ownership and Intellectual Property

 

Purchase/download of Training Tools materials does not transfer any right in the materials to the Licensee other than as expressly stated in this licence agreement.

The Licensor retains the right to all intellectual property rights, including but not limited to copyright, in respect of the materials, computer programs or other documents produced or arising from any variation, modification, amendment, adaptation or reproduction of any part of the Materials by the Licensee. The Licensee is to maintain attribution to Training Tools.

While a licence is not granted to other commercial developers/consultants, we are aware that our products are purchased by this audience. Other commercial developers/consultants who buy our compliance templates and other products to use as part of their own offerings, irrespective of whether the purchase is directly from us or via an agent, must maintain attribution to Training Tools.

For changed or edited documents, the following attribution must be made in the space provided: ‘This is a modified document based on resources owned by Training Tools.’

​

Training Tools forbids the use of any of its products to be used to train generative artificial intelligence (AI) models. This means Training Tools assessment tools, learning materials, compliance checklists, guides, frameworks, ebooks, checklists, and any other form must not be submitted in part or whole into a large language model (LLM) for any purpose, including to build upon, analyse or reverse engineer content. LLMs are tools such as but not limited to: the OpenAI 'ChatGPT' chatbot, enterprise GPTs, custom built AI models for the purpose of content analysis and/or verification.

Non-Exclusive Licence 

 

The document/product/digital product is a commercial resource for purchase. It is sold under licence to:

• Individual VET practitioners for their personal use

OR

• Registered Training Organisations (RTOs) and other education providers for use within their organisations and their students. Only licensed RTOs or their students are permitted to use these resources, any parts of them, or any derivative works made from them. 

 

This licence does not place any restrictions on the Licensor’s rights in relation to the Materials.

Where you download or purchase our digital products (including checklists, guides, ebooks, workbooks, video or audio content) (Digital Products) you are granted a non-exclusive, non-transferable, limited licence to access and use the Digital Products according to the licence granted.

You may not assign or transfer the Digital Products to any other person without the express written consent of MAE Projects. We reserve the right, in our sole discretion, to accept or refuse to provide the products and/or services to you at any time for any reason. The Digital Products are not to be used to produce any other commercial product either for sale, lease, or offered as a complimentary 'give away'.

Use of the Materials 

 

Individual VET Practitioners

 

Purchase/download of Training Tools’ Materials entitles the Licensee to use the materials for their own personal use. Sharing, copying, republishing, transmitting, selling or licensing any part of the materials is prohibited.

 

You acknowledge and agree that you have no right to modify, edit, copy, reproduce, create derivative works of, reverse engineer, alter, sell, enhance or in any way exploit any of the Digital Products in any manner whatsoever except as authorised by us.

RTOs and other education providers

 

Purchase/download of Training Tools’ Materials entitles the Licensee to use the materials for genuine training and assessment delivery through their own organisation registered for training operations only (“the Permitted Use”). 

​

In using any Materials, the Licensee agrees not to copy, republish, download, transmit, sell or license any part of the Materials unless otherwise permitted by this licence.  

​

The Licensee agrees only to allow its employees access to the materials on a ‘needs only’ basis. The Licensee must inform its employees, trainees and any other persons with access to the materials that they are subject to copyright and the terms of this licence agreement. Purchases as 'library stock' are subject to different pricing and conditions - available on request.

 

Limits on Liability

 

The Materials are provided on the understanding that the Licensee shall exercise their own skill and care with respect to their use.

The Licensor has taken reasonable steps to try and ensure the Materials are current and accurate, however does not provide any warranty that the Materials are error free.

 

The Licensee agrees that that the Licensor is not liable for any claims or damages arising from any errors or inaccuracies in the Materials.

The Licensor is under no obligation to provide any updates, enhancements, modifications, revisions or additions to the materials provided. The Licensee acknowledges that any changes made to materials may impact their suitability to satisfy compliance requirements.

The Licensee agrees only use the materials for the Permitted Use. If the materials are used for any other purpose, the Licensee does so at its own risk and assumes all liability for any loss or damage arising from such use.

​

The only warranties provided by the Licensor are those imposed by statute that cannot be excluded by these terms. All Statutory Warranties that can be lawfully excluded are hereby expressly excluded.

 

 

Termination of Licence

 

If the Licensee breaches this license it shall be terminated immediately. Upon termination the Licensee will have no further right to the materials and must return all documents to the Licensor and/or provide evidence that the Materials, including any electronically stored copies have been destroyed.

General

 

Amendment to this licence must be made in writing and executed by MAE Projects. This licence may not be assigned by the Licensee without the Licensor’s prior written approval.

​

The agreement shall be governed by the laws of Queensland, Australia.

Digital Files

Training Tools will issue your purchase as a digital file for download. The nature of digital products means no refunds will be issued on any purchase.

 

It is the purchaser's responsibility to download the products from the links and/or attachments provided. Please ensure all email boxes (inbox / spam folder) are checked for the emails from Specialised VET Services' Training Tools.

 

We are aware that large government organisations block some downloads and if this happens to you, on notification from you, we will simply email your items as attachments.  

 

By purchasing/downloading any Training Tools item, you agree to these stipulations.

Your Information

Training Tools will collect and store your information in accordance with expectations of Privacy legislation.

 

By entering your details, you agree that Specialised VET Services | Training Tools can use your contact information for the purposes of sending your ordered materials, and from time to time, to communicate with you about VET sector news, events, new Training Tools product releases and other updates.

Changes and Contextualisations

We supply our template and assessment products in digital format with the intention that the purchasing RTO will make any adaptations necessary to suit their own business needs.  

 

It is important to note though, that this process is out of the control of Training Tools and any results of any changes are the responsibility of the RTO.

Copyright

We get a lot of people asking if they can make changes to the materials they buy. And the answer is yes. However...

 

Training Tools asserts their rights as developers of the content, to be recognised as such, and we retain the IP to all our materials; this does not stop an RTO making changes where allowable.  

 

It is important to note that any changes or contextualisations by an RTO could render any associated compliance information at the time of sale no longer applicable.
